WHEREAS<\/strong> on the 17th day of March, 2009, the Ontario Securities Commission (the “Commission”) ordered: <\/p>\n

1.pursuant to clause 2 of subsection 127(1) of the Act that all trading in securities of Oversea Chinese Fund Limited Partnership, Weizhen Tang and Associates Inc. and Weizhen Tang Corp. shall cease; <\/p>\n

2.pursuant to clause 2 of subsection 127(1) of the Act that all trading by Weizhen Tang, Oversea Chinese Fund Limited Partnership, Weizhen Tang and Associates Inc. and Weizhen Tang Corp. shall cease; and <\/p>\n

3.pursuant to clause 3 of subsection 127(1) of the Act that the exemptions contained in Ontario securities law do not apply to Weizhen Tang, Oversea Chinese Fund Limited Partnership, Weizhen Tang and Associates Inc. and Weizhen Tang Corp.; (the \u201cTemporary Order\u201d); <\/p>\n

AND WHEREAS<\/strong> the Commission further ordered as part of the Temporary Order that, pursuant to subsection 127(6) of the Act, the Temporary Order shall take effect immediately and shall expire on the fifteenth day after its making unless extended by the Commission; <\/p>\n

TAKE NOTICE<\/strong> that the Commission will hold a hearing pursuant to sections 127 and 127.1 of the Act at its offices at 20 Queen Street West, 17th Floor Hearing Room on Wednesday, the 1st day of April, 2009 at 2:00 p.m. or as soon thereafter as the hearing can be held; <\/p>\n

TO CONSIDER<\/strong> whether, pursuant to sections 127 and 127.1 of the Act, it is in the public interest for the Commission to: <\/p>\n

WHEREAS <\/strong>it appears to the Ontario Securities Commission (the \u201cCommission\u201d) that: <\/p>\n

1.Oversea Chinese Fund Limited Partnership (\u201cOversea\u201d) is a limited partnership; <\/p>\n

2.Weizhen Tang and Associates Inc. (\u201cAssociates\u201d) is the General Partner of Oversea; <\/p>\n

3.Weizhen Tang Corp. (\u201cCorp.\u201d) is a corporation incorporated pursuant to the laws of Ontario; <\/p>\n

4.Weizhen Tang (\u201cTang\u201d) is an individual who resides in Ontario; <\/p>\n

5.Tang, Oversea, Associates and Corp. have raised funds in Canada, the United States and mainland China; <\/p>\n

6.Tang, Oversea, Associates and Corp. may have provided investment advice and acted as a portfolio manager without being registered to do so, contrary to section 25 of the Securities Act, R.S.O. 1990, c. S-5 (the \u201cAct\u201d); <\/p>\n

7.Tang, Oversea, Associates and Corp. may have traded in securities without a prospectus having been filed or a receipt issued, contrary to section 53 of the Act; <\/p>\n

AND WHEREAS<\/strong> the Commission is of the opinion that the time required to conclude a hearing could be prejudicial to the public interest as set out in s. 127(5) of the Act; <\/p>\n

AND WHEREAS<\/strong> the Commission is of the opinion that it is in the public interest to make this order; <\/p>\n

AND WHEREAS<\/strong> by Authorization Order made April 1, 2008, pursuant to subsection 3.5(3) of the Act, the Commission authorized each of W. David Wilson, James E. A. Turner, Lawrence E. Ritchie, Paul K. Bates and David L. Knight, acting alone, to exercise the powers of the Commission to make Orders under section 127 of the Act; <\/p>\n
